Commercial Counsel

Landis+Gyr currently has an open Commercial Counsel position reporting to the Head of Group Commercial Law. This position represents Landis+Gyr with respect to legal advice and recommendations for action to executives, management, and contracts team regarding matters of commercial law with varying complexity.  Utilizes a knowledge of one or more legal specialties with sound business acumen and knowledge of the business goals and objectives as they relate to the commercial matter at hand. Draft and execute legal documents, negotiate complex agreements, provide direction to external counsel, other professional, paraprofessional, and support staff in developing solutions to problems presented, manage litigation, research legal principles and precedents, consult with outside counsel, gather relevant case related information using multiple sources and methods.


•Leads the legal aspect of contract negotiations for assigned contracts. Drafts and negotiates complex and unique agreements with customers and a wide variety of other contractual partners, reviews legal documents, and provides recommendations. Works with outside counsel.
•Works independently and exercises judgment while providing guidance in commercial matters affecting day-to-day commercial contracts by assisting, advising, investigating, researching, and resolving commercial legal matters within corporate legal policies to ensure that Company personnel are aware of and in compliance with applicable laws and regulations.
•Research and is aware of related issues and changes in the law, and anticipates the potential impact of changes on the organization. Provides counsel to senior leadership, including executive management, regarding risks and possible risk mitigation plans.
•Oversees and leads the preparation, recommendation, and execution of commercial legal documents by analyzing, drafting, negotiating, and reviewing these documents to ensure consistency with respect to the Company’s policies, philosophy and/or principles with respect to risk and commercial and legal soundness.
•Provides information to Group General Counsel and other in-house attorneys in concise legal terms to aid in the decision-making on legal, liability, risk, and legal compliance issues.
•Prepares reports for and advises executive management regarding the Company's position on assigned commercial legal matters.
•Support non-litigation projects such as drafting Company policies and contribute toward Legal Department’s addressing various meeting, programs, and committees that may be established from time to time.
•Keep an eye on and advise Group General Counsel of general legal matters of the Company, including guidance on various issues related to the Company’s operations and practices
•Provide effective identification and mitigation of key business commercial legal risks
•Participate in and provide guidance in other business transactions, as requested
•Create practical and effective solutions to unique commercial legal issues presented
•Review of commercial legal opinions, legal structure, and other applicable legal issues
•Analyze and interpret commercial laws and regulations
•Ensure that Company conducts business in compliance with all applicable laws and regulations

Required Experience:
•Juris Doctorate Degree - Graduate of accredited law school (including all other necessary prerequisites for gaining licensure to practice law), and maintaining qualifications and licensure throughout employment; Georgia state bar preferred
•Minimum 5 Years Relevant Experience
•Summarizes information and analysis effectively and concisely in verbal and written form
•Ability to independently manage workload and other projects
•Comfortably leads internal group meetings with peers and department heads
•Strong computer skills and proficiency in Microsoft Office Suite

Preferred Qualifications & Background
•In-depth experience with the job responsibilities outlined above.
•Experience with a multinational corporation, major law firm or government agency a plus
