This role is part of Landis+Gyr’s EMEA (Europe, Middle East & Africa) business, which is expected to become an independent company under new ownership by mid-2026, subject to customary regulatory approvals. Role Overview

We are seeking an experienced and highly skilled EMEA General Counsel & Compliance Officer & Company Secretary to lead Landis+Gyr’s EMEA legal, governance, and compliance functions. Reporting directly to the EMEA CFO, this position is responsible for ensuring the company’s operations adhere to all applicable laws, regulations, and internal policies, while fostering a culture of integrity and ethical conduct. The ideal candidate combines strategic legal acumen with operational execution and the ability to act as a trusted advisor to senior management. This role plays a key part in maintaining corporate governance standards, managing legal and compliance risks, and enabling sustainable business growth. 

 

Key Responsibilities

Legal & Corporate Governance

  • Lead and manage Landis+Gyr’s EMEA Legal and Compliance function, providing strategic legal advice.
  • Draft, review, and negotiate contracts with customers, suppliers, and partners to ensure effective risk mitigation.
  • Advise management on corporate structure, shareholder matters, and legal entity management.
  • Serve as Company Secretary, maintaining statutory registers, corporate records, and governance documentation.
  • Prepare board and shareholder meeting materials, agendas, and minutes, ensuring full compliance with statutory and internal requirements.

Compliance & Ethics

  • Develop, implement, and oversee the company’s global compliance framework and programs.
  • Ensure adherence to regulations in areas such as anti-bribery, antitrust, data protection, and conflicts of interest.
  • Lead compliance training and communication initiatives to strengthen organizational awareness and accountability.
  • Conduct internal compliance assessments and support investigations when required.
  • Promote a culture of ethical conduct and transparency across the organization.

Data Protection & Privacy

  • Ensure compliance with data protection legislation (e.g. GDPR) and internal privacy policies.
  • Maintain the data protection management framework, including incident management, risk assessment, and training.

Litigation & External Counsel Management

  • Oversee litigation, dispute resolution, and external counsel management, ensuring cost efficiency and strategic alignment.
  • Coordinate with external advisors on regulatory and legal matters as needed.

Leadership & Collaboration

  • Lead and develop a small Legal and Compliance team, fostering collaboration, professionalism, and business focus.
  • Partner with senior management, HR, Finance, IT, and Operations to ensure alignment between legal, compliance, and business priorities.
  • Act as a trusted advisor and sparring partner to the CFO and Executive Management Team.

 

Profile

  • Master’s degree in Law and bar admission in Switzerland or another European jurisdiction.
  • Minimum 10 years of professional experience in legal and compliance roles within international industrial or technology-driven organizations.
  • Strong expertise in corporate and commercial law, compliance, governance, and data protection.
  • Proven ability to balance legal risk with commercial objectives and provide pragmatic business guidance.
  • Experience leading small teams and managing external counsel efficiently.
  • Excellent communication, influencing, and leadership skills with high personal integrity.
  • Fluent in English; German language skills preferred.
  • High ethical standards, strategic thinking, and hands-on problem-solving ability.
